TERMS & CONDITIONS
Solmaz Marketing Ltd
Last updated: 25 August 2026
These Terms & Conditions govern the use of services provided by Solmaz Marketing Ltd and should be read alongside any proposal, quotation, service agreement, statement of work or service-specific terms provided to a client.
By instructing Solmaz Marketing Ltd to provide services, accepting a proposal, making payment or otherwise entering into an agreement for services, the client agrees to the applicable terms governing that engagement.

Solmaz Marketing provides outsourced marketing, lead generation, digital marketing, strategy, creative and related professional services to businesses.

1. INITIAL ENQUIRIES AND DISCOVERY
Initial enquiries may be made through the Solmaz Marketing website, email, telephone, referral or other agreed communication channels.
Where appropriate, prospective clients may be invited to an initial discovery call to discuss their business, requirements, objectives and potential services.
Consultations booked directly through the Solmaz Marketing website are currently provided free of charge unless otherwise stated.
Free consultations are normally limited to one initial call per prospective client or business.
If a prospective client misses a scheduled consultation, they may contact info@solmazmarketing.com to request another appointment.
Solmaz Marketing is not obliged to provide a replacement free consultation following a missed appointment. At our discretion, we may instead request further information by email or another appropriate communication method before deciding how to proceed.
Free consultations are exploratory and do not create an obligation on either party to enter into a subsequent commercial agreement.

2. PROPOSALS AND SERVICE AGREEMENTS
Following initial discussions and once the client's requirements have been established, Solmaz Marketing may prepare a bespoke package or proposal.
Unless stated otherwise, the accepted proposal will set out the commercial terms of the engagement and may include:
-
agreed services and deliverables;
-
scope of work;
-
project or retainer fees;
-
payment schedule;
-
anticipated timescales;
-
working arrangements;
-
responsibilities of each party;
-
included meetings or site attendance;
-
third-party or team-member costs;
-
termination arrangements; and
-
other service-specific conditions.
Once accepted by the client, the proposal, together with any referenced terms, will form the working agreement between Solmaz Marketing and the client.
Where there is a conflict between these general Terms & Conditions and a signed bespoke agreement, the specific terms expressly agreed within the bespoke agreement will take precedence for that engagement.
3. FEES AND HOURLY RATE
Solmaz Marketing services are generally provided through bespoke project fees, monthly retainers or agreed service packages.
Our standard hourly rate for additional work outside an agreed package or scope is currently £50 per hour, unless a different rate has been agreed in writing.
This hourly rate does not replace or override project fees, retainers or package pricing agreed within a client proposal.
Where additional work is requested beyond the agreed scope, Solmaz Marketing may:
-
charge the additional work at the applicable hourly rate;
-
provide an additional quotation;
-
amend the existing package; or
-
issue a new proposal or service agreement where the additional work materially changes the scope of the engagement.
We will normally seek agreement before undertaking material additional chargeable work.
4. DEPOSITS AND COMMENCEMENT OF WORK
Unless otherwise stated within the applicable proposal, a 50% deposit of the total project fee or 50% of the first monthly retainer is required before work can commence.
Work will not normally begin until the required deposit has been received and any information, access or materials reasonably necessary to commence work have been supplied.
The remaining balance and subsequent payments will be due according to the payment schedule stated within the applicable proposal, invoice or agreement.
Payment of a deposit constitutes acceptance of the applicable commercial agreement where this has been clearly provided to the client before payment.
5. INVOICES AND LATE PAYMENT
Standard bespoke and ongoing Solmaz Marketing services are generally invoiced according to the payment schedule contained within the client's proposal or agreement.
Invoices must be paid by the stated due date.
Where payment becomes overdue, Solmaz Marketing reserves the right to:
-
pause ongoing work;
-
withhold undelivered work;
-
postpone scheduled activity;
-
suspend access to services;
-
decline additional work; and
-
take reasonable steps to recover outstanding amounts.
Where permitted by law, Solmaz Marketing also reserves the right to claim applicable statutory interest and reasonable debt recovery costs on overdue commercial invoices.
Any pause caused by late payment may affect previously estimated delivery dates or campaign schedules.
6. ADDITIONAL TEAM MEMBERS AND SPECIALIST SUPPORT
Solmaz Marketing may use employees, freelancers, contractors, consultants or specialist partners where appropriate to deliver an agreed service.
Where the need for specialist support is known when the proposal is created, the relevant cost or hourly rate will normally be factored into the original proposal.
If additional specialist support becomes necessary after work has commenced, Solmaz Marketing will normally discuss the requirement with the client before incurring material additional charges.
Where the change materially expands the agreed service, a revised proposal, additional quotation or new service agreement may be required.
Solmaz Marketing remains responsible for managing the services it has contractually agreed to provide, subject to the scope and terms of the applicable agreement.
7. SCOPE OF WORK AND ADDITIONAL REQUESTS
Only work expressly included within the applicable proposal or agreement is included within the agreed fee.
Requests falling outside the agreed scope may constitute additional work.
Examples may include:
-
additional campaigns;
-
additional content or creative assets;
-
additional website pages or functionality;
-
significant revisions beyond those agreed;
-
additional reporting;
-
additional meetings;
-
additional research;
-
additional platforms or channels;
-
additional locations;
-
urgent or expedited work; or
-
substantial changes to an agreed strategy after work has commenced.
Additional work may be charged at the applicable hourly rate or quoted separately.
8. CLIENT RESPONSIBILITIES

Clients are responsible for providing information, materials, access, feedback and approvals reasonably required for Solmaz Marketing to deliver the agreed services.
This may include:
-
brand assets;
-
website or platform access;
-
advertising account access;
-
CRM access;
-
product or service information;
-
pricing information;
-
photography or creative assets;
-
regulatory or technical information;
-
approvals; and
-
timely feedback.
The client is responsible for ensuring that information and materials supplied to Solmaz Marketing are accurate and that the client has the necessary rights and permissions for Solmaz Marketing to use them.
Solmaz Marketing is not responsible for delays or reduced performance caused by missing, inaccurate or late information, access, feedback or approvals from the client.
Where client delays materially affect the schedule, agreed deadlines may be revised.
9. APPROVALS
Where work requires client approval, the client is responsible for reviewing materials carefully before approval.
Once content, designs, campaigns, advertising, websites or other materials have been expressly approved and published, launched or distributed, subsequent changes may be treated as additional work.
The client remains responsible for confirming the factual accuracy of information specific to its business, including prices, claims, technical specifications, legal statements and regulated information.
10. DIGITAL MARKETING AND THIRD-PARTY PLATFORMS
Solmaz Marketing may provide services involving third-party platforms including search engines, social media platforms, advertising networks, website platforms, CRM systems, email marketing services, analytics tools and other software.
These platforms operate independently of Solmaz Marketing.
Solmaz Marketing cannot guarantee:
-
uninterrupted availability of third-party platforms;
-
continued access to particular features;
-
algorithmic rankings;
-
organic search positions;
-
advertising approval;
-
account approval;
-
platform performance;
-
third-party policy changes; or
-
uninterrupted access to external services.
Changes made by third-party platforms may affect campaigns or services without prior notice.
11. THIRD-PARTY COSTS
Unless expressly included within the applicable proposal, third-party costs are not included within Solmaz Marketing's professional fees.
These may include:
-
advertising spend;
-
software subscriptions;
-
website hosting;
-
domains;
-
stock imagery or media;
-
printing;
-
data services;
-
external suppliers;
-
travel;
-
accommodation;
-
specialist contractors; and
-
other external costs.
Where practicable, material third-party expenditure will be agreed with the client before commitment.
12. PERFORMANCE AND RESULTS
Solmaz Marketing will provide services with reasonable care and skill.
Marketing performance can be affected by numerous factors outside our control, including market conditions, competition, client pricing, sales processes, customer demand, advertising platforms, algorithms, budgets and client follow-up.
Unless expressly guaranteed within a written agreement, Solmaz Marketing does not guarantee specific:
-
sales;
-
enquiries;
-
leads;
-
appointments;
-
search rankings;
-
advertising performance;
-
revenue;
-
return on investment;
-
follower growth;
-
website traffic; or
-
other commercial outcomes.
Any forecasts, estimates or projections are provided as indications rather than guarantees.
13. IN-PERSON MEETINGS AND SITE VISITS
Remote working is the standard delivery method for many Solmaz Marketing services unless in-person attendance has been expressly included within the applicable proposal or subsequently agreed.
Where an agreement specifically includes regular in-person attendance, the agreed arrangement will apply.
Where additional in-person meetings, site visits, events or travel are requested outside the agreed scope, Solmaz Marketing reserves the right to charge for the time reasonably required to attend, including reasonable travel time where applicable.
Additional travel expenses may also be charged where appropriate and will normally be communicated in advance.
If a client cancels or materially changes an agreed in-person meeting, site visit, event or location at short notice after Solmaz Marketing has committed time or incurred costs, Solmaz Marketing reserves the right to charge for:

-
time already committed;
-
reasonable travel time;
-
non-refundable travel costs;
-
accommodation or other expenses already incurred; and
-
work or preparation already undertaken.

This applies particularly where the cancellation or location change prevents the allocated time from reasonably being reassigned to other client work.

14. EQUIPMENT AND ON-SITE WORK

Where Solmaz Marketing attends a client's premises or another agreed location, we may use our own equipment where appropriate.
This may include:
-
computers and mobile devices;
-
photography equipment;
-
video equipment;
-
lighting;
-
audio equipment; and
-
other equipment reasonably required to deliver the agreed service.
Clients must provide a reasonably safe and appropriate working environment for agreed on-site activities.
Solmaz Marketing will take reasonable care of its own equipment while on site.
15. PHOTOGRAPHY AND VIDEO
Where photography or video production forms part of an agreed service, the applicable proposal will define the scope of the work.
Unless otherwise agreed, additional photography, filming, editing, equipment requirements, travel or production outside the original scope may incur additional charges.
The client is responsible for obtaining any permissions or releases required from its employees, customers, visitors, premises owners or other relevant persons unless Solmaz Marketing has expressly agreed to manage these arrangements.
16. INTELLECTUAL PROPERTY AND CLIENT MATERIALS
Clients retain ownership of intellectual property they supply to Solmaz Marketing, including their existing:
-
logos;
-
trademarks;
-
photographs;
-
brand assets;
-
written materials; and
-
other proprietary materials.
The client grants Solmaz Marketing permission to use those materials as reasonably necessary to deliver the contracted services.
The client confirms that it has the necessary rights to provide those materials for this purpose.
Unless otherwise agreed, Solmaz Marketing retains ownership of its pre-existing methodologies, templates, systems, processes, know-how and intellectual property.
Ownership or licensing of bespoke deliverables will be governed by the applicable proposal or service agreement.
17. PORTFOLIO, CLIENT NAMES AND CASE STUDIES
Solmaz Marketing will only publicly use a client's name, logo, trademarks or identifiable brand assets for promotional, portfolio or case-study purposes where the applicable agreement permits such use or separate permission has been obtained.
Where permission has not been granted, Solmaz Marketing will not intentionally publish the client's identifiable branding for promotional purposes.
Solmaz Marketing reserves the right to create anonymous case studies based on work undertaken, provided that reasonable steps are taken to remove or avoid information that would directly identify the client or disclose confidential information.
Anonymous case studies may refer to general information such as:
-
industry or sector;
-
type of challenge;
-
services provided;
-
methodology;
-
anonymised performance improvements; and
-
aggregated or non-identifying results.
18. CONFIDENTIALITY
Both parties should treat confidential business information received during an engagement appropriately.
Solmaz Marketing will not intentionally disclose confidential client information to unrelated third parties except where:
-
required to deliver the agreed service;
-
authorised by the client;
-
required by law; or
-
shared with an appropriate contractor or service provider involved in delivering the service and subject to suitable confidentiality obligations.
Where additional confidentiality requirements are necessary, a separate NDA may be agreed.
19. DATA PROTECTION
Solmaz Marketing processes personal information in accordance with applicable UK data protection legislation and our Privacy Policy.
ICO Registration Reference: ZB835593
Where services involve processing personal information on behalf of a client, additional data protection provisions or a Data Processing Agreement may be required depending on the nature of the engagement.
Clients remain responsible for ensuring that their own collection, processing and use of personal information complies with applicable legislation.
20. WEBSITE PURCHASES AND LIMITED OFFERS
Certain products, consultations, introductory services or limited offers may be available for direct purchase through the Solmaz Marketing website.
These purchases may be subject to additional service-specific Terms & Conditions presented or linked before purchase.
Where service-specific terms apply, those terms form part of the agreement governing the purchase.
Standard ongoing and bespoke marketing engagements will continue to be governed by the applicable proposal or service agreement.
21. CANCELLATION AND TERMINATION
Cancellation and termination provisions for ongoing services, retainers and projects will normally be stated within the applicable proposal or service agreement.
Clients remain responsible for fees properly incurred up to the effective date of termination and for any non-refundable third-party commitments made on their behalf.
Termination does not remove the client's obligation to pay invoices or charges that became due before termination.
Solmaz Marketing reserves the right to suspend or terminate services where there is:
-
persistent non-payment;
-
material breach of an agreement;
-
abusive or threatening behaviour;
-
unlawful instructions;
-
serious failure to cooperate with reasonable requirements; or
-
another material circumstance making continued performance unreasonable or unlawful.
Any such action will be subject to the applicable agreement and legal obligations.
22. COMMUNICATION AND WORKING HOURS
Solmaz Marketing will use reasonable efforts to respond to client communications within appropriate business timescales.
Unless expressly agreed, services do not include continuous availability, immediate responses, evenings, weekends or bank holiday support.
Urgent or out-of-hours work may be subject to availability and additional charges.
23. PROFESSIONAL INSURANCE
Solmaz Marketing Ltd maintains professional business insurance through Markel UK, including professional indemnity, public liability and equipment cover, subject to the terms, conditions, limits and exclusions of the applicable insurance policies.
24. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
Subject to applicable law and the terms of any specific client agreement, Solmaz Marketing will not be liable for indirect or consequential losses, loss of anticipated profits, loss of opportunity or losses caused by matters outside our reasonable control.
Where permitted by law, Solmaz Marketing's total liability relating to a particular service or engagement will be limited in accordance with the applicable proposal or agreement.
25. WEBSITE INFORMATION
Information published on the Solmaz Marketing website is provided for general information and may be updated without notice.
While reasonable efforts are made to keep information accurate, website content should not be regarded as legal, financial or other regulated professional advice.
Pricing shown on the website may relate to specific packages, starting prices, promotional offers or illustrative services and does not override a bespoke quotation or agreement.
26. CHANGES TO THESE TERMS
Solmaz Marketing may update these Terms & Conditions from time to time to reflect changes to our services, business practices or applicable requirements.
The latest version will be identified by the date displayed at the top of this page.
Changes will not retrospectively alter a separately signed agreement unless agreed between the parties or required by law.
27. GOVERNING LAW
These Terms & Conditions and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, subject to any mandatory rights or jurisdictional requirements that cannot legally be excluded.
